Terms of Service

1. Acceptance of Terms

By accessing or using the Placrd platform at placrd.app (the "Platform"), operated by Placrd Platform ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform.

These Terms apply to all users of the Platform, including event organizers, registered participants, voters, and guests who use the Platform without creating an account. By using any feature of the Platform, including browsing events, registering as a guest, or casting votes, you acknowledge that you have read and agree to these Terms.

2. Description of Service

Placrd provides an online platform for organizing and managing competition-style events, including but not limited to car shows, art exhibits, sneaker conventions, and dog shows. The Platform enables:

  • Event creation and management
  • Participant registration (with or without an account)
  • Entry submission and photo uploads
  • QR-based voting with configurable integrity controls
  • Real-time leaderboards and results publication
  • Payment processing for registration fees and organizer payouts
  • Placard and media generation

3. Account Registration and Security

To access certain features of the Platform, you may create an account. When creating an account, you must provide accurate and complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose a security risk.

4. Guest and Anonymous Use

The Platform supports guest-first participation. You may register for events and cast votes without creating a full account. When you use the Platform as a guest:

  • You are still bound by these Terms. Using any Platform feature constitutes acceptance.
  • A temporary session is created to facilitate your participation.
  • If you provide an email address or phone number during guest registration, that information is associated with your participation.
  • If you later create an account with the same email or phone number, your guest activity may be linked to your account.

5. Organizer Terms

5.1 Event Creation and Management

As an event organizer, you are responsible for the content, accuracy, and management of your events, including event descriptions, class definitions, registration forms, schedules, and any associated media. You must ensure your events comply with all applicable laws and regulations in your jurisdiction.

5.2 Content Responsibility

Organizers are solely responsible for the content published on their event pages, including text, images, and custom registration fields. Placrd does not endorse, verify, or assume liability for organizer-generated content.

5.3 Registrant Data

Event organizers have access to registration data for their events, including participant names, email addresses, and custom field responses. Organizers must handle this data in compliance with applicable privacy laws and must not use registrant data for purposes unrelated to their event without the registrant's consent.

6. Participant Terms

6.1 Registration

By registering for an event, you agree to provide accurate information and to comply with the event organizer's rules and requirements. Registration may be free or require payment depending on the event configuration.

6.2 Voting

Voting is available at events where the organizer has enabled it. Voting may be subject to identity verification, location verification, or device uniqueness checks as configured by the event organizer. By casting a vote, you agree to participate honestly and not attempt to manipulate voting results.

6.3 Content Submission

When you submit entries or upload photos, you represent that you have the right to share that content and that it does not infringe on any third party's intellectual property rights. See Section 9 (Intellectual Property) for content licensing details.

7. Voting Integrity

Placrd provides tools for event organizers to configure voting rules, including voter identity requirements, location verification, device fingerprinting, and rate limiting. The following conduct is prohibited and may result in vote disqualification, account suspension, or ban:

  • Casting votes using automated tools, bots, or scripts
  • Manipulating device identifiers to circumvent uniqueness controls
  • Spoofing location data to bypass venue verification
  • Creating multiple accounts to cast additional votes
  • Coordinating with others to artificially inflate or suppress votes
  • Any other attempt to undermine the fairness of the voting process

Placrd reserves the right to invalidate votes and take enforcement action at our sole discretion when voting integrity violations are detected.

8. Payments and Fees

8.1 Platform Fees

Placrd operates as a marketplace platform using Stripe Connect. Platform fees are charged as a percentage of paid event registrations. Current fee rates are displayed on the Pricing page and are subject to change with reasonable notice.

8.2 Payment Processing

All payment processing is handled by Stripe. By making a payment on the Platform, you agree to Stripe's terms of service and privacy policy in addition to these Terms. Placrd does not directly store your payment card information.

8.3 Organizer Payouts

Event organizers receive their share of registration fees through Stripe Connect. Payout timing and availability are subject to Stripe's policies and the organizer's Stripe account status. Placrdis not responsible for delays caused by Stripe's verification or compliance requirements.

8.4 Refunds

Refund policies for event registrations are set by event organizers. Placrdfacilitates refund processing but the decision to issue a refund is at the organizer's discretion unless otherwise required by applicable law.

9. Intellectual Property

9.1 Platform IP

The Placrd platform, including its design, features, code, and branding, is the intellectual property of Placrd Platform. You may not copy, modify, distribute, or create derivative works of the Platform without our prior written consent.

9.2 User Content

You retain ownership of content you submit to the Platform, including photos, entry descriptions, and event descriptions. By submitting content, you grant Placrd a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content as necessary to operate and promote the Platform and the events in which your content appears.

This license continues for the duration of the event and a reasonable period afterward for archival and results purposes. You may request removal of your content by deleting your entries or contacting us.

10. Prohibited Conduct

You agree not to:

  • Use the Platform for any unlawful purpose
  • Submit false, misleading, or fraudulent information
  • Harass, abuse, or threaten other users
  • Interfere with or disrupt the Platform or its infrastructure
  • Attempt to gain unauthorized access to other users' accounts or data
  • Use the Platform to distribute malware, spam, or unsolicited communications
  • Scrape, crawl, or use automated means to access the Platform without authorization
  • Circumvent any security, rate-limiting, or access controls
  • Violate the voting integrity rules described in Section 7

11. Termination

We may suspend or terminate your access to the Platform at any time, with or without notice, for conduct that we believe violates these Terms, is harmful to other users, or is otherwise objectionable. You may also deactivate your account at any time through your account settings.

Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination (including Sections 9, 12, 13, and 14) will survive.

12. Disclaimers and Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Placrd does not warrant that the Platform will be uninterrupted, error-free, or secure. We are not responsible for the conduct of event organizers, participants, or voters on the Platform.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Placrd Platform SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless Placrd Platform, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third party's rights; or (d) content you submit to the Platform.

14. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Platform shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation, it shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action or other representative proceeding. You waive any right to participate in a class action lawsuit or class-wide arbitration.

15. General Provisions

15.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

15.4 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Placrd Platform regarding the Platform and supersede all prior agreements and understandings.

15.5 Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Platform with a revised "Last updated" date. Your continued use of the Platform after changes are posted constitutes your acceptance of the updated Terms.
